1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Meridant LLC, a Delaware limited liability company (“Meridant,” “we,” “us,” or “our”), governing your access to and use of the Meridant platform, including all associated software, services, and content available at meridant.io and app.meridant.io (collectively, the “Service”).
By registering for an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to “you” include that organisation.
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service
Meridant is a multi-tenant software-as-a-service platform that enables organisations to conduct AI-powered technology assessments across industry frameworks including MMTF, NIST CSF 2.0, and FinOps Foundation. The Service generates findings, maturity heatmaps, recommendations, and roadmaps based on assessment inputs provided by you.
3. Accounts and Registration
3.1 Account Creation
To access the Service, you must register for an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.2 Eligibility
You must be at least 18 years of age and capable of entering into a binding legal agreement to use the Service. The Service is intended for business use and is not directed at consumers for personal use.
3.3 Account Security
You agree to notify us immediately at support@meridant.io if you become aware of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
3.4 Accurate Information
You agree not to impersonate any person or entity, misrepresent your affiliation with any person or entity, or provide false registration information.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under multiple subscription tiers, as described on our pricing page at meridant.io/pricing. Current offerings include:
- Starter (Free): Limited access as described on the pricing page.
- Single Use: A one-time payment granting access to a single assessment.
- Professional: Monthly recurring subscription with unlimited assessments and full framework access.
- Enterprise: Custom pricing; contact us at support@meridant.io.
Features available under each plan are described at meridant.io/pricing and may be updated from time to time with reasonable notice.
4.2 Payment
All fees are charged in US Dollars (USD). Payment is processed through Stripe, Inc. By providing payment information, you authorise us to charge your payment method for all applicable fees. You represent that you are authorised to use the payment method provided.
4.3 Recurring Subscriptions
For recurring subscriptions, your payment method will be charged automatically at the start of each billing period. You authorise these recurring charges until you cancel your subscription.
4.4 Cancellation
You may cancel your subscription at any time through the billing portal accessible from within the Service. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.
4.5 Free Trials
If we offer a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges. We reserve the right to modify or discontinue trial offers at any time.
4.6 Price Changes
We reserve the right to change our fees with at least 30 days’ advance notice. Your continued use of the Service after the price change takes effect constitutes acceptance of the new fees.
4.7 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, or governmental charges arising from your use of the Service, except for taxes based on Meridant’s net income.
5. Acceptable Use
5.1 Permitted Use
You may use the Service solely for lawful business purposes in accordance with these Terms and any applicable laws and regulations.
5.2 Prohibited Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to gain unauthorised access to any part of the Service, other user accounts, or Meridant’s systems or networks;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without Meridant’s express written permission;
- Use the Service to transmit spam, malware, or other harmful or disruptive content;
- Scrape, data-mine, or extract data from the Service by automated means;
- Interfere with or disrupt the integrity or performance of the Service;
- Use the Service to develop a competing product or service;
- Misrepresent the source or ownership of any content you submit to the Service.
6. Customer Data
6.1 Ownership
You retain all ownership rights in the data, content, and information you submit to the Service in connection with your assessments (“Customer Data”). You grant Meridant a limited, non-exclusive, royalty-free licence to process and use your Customer Data solely to provide and improve the Service.
6.2 Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data you submit. You represent and warrant that you have all rights necessary to submit Customer Data to the Service.
6.3 AI-Generated Content
Outputs generated by the Service, including findings, recommendations, and roadmaps, are produced using AI models and are provided for informational purposes only. You are solely responsible for evaluating, validating, and acting on AI-generated outputs. Meridant does not guarantee the accuracy, completeness, or suitability of any AI-generated content for any particular purpose.
6.4 Data Retention
We retain Customer Data for as long as your account is active or as necessary to provide the Service. You may request deletion of your account and Customer Data by contacting support@meridant.io. See our Privacy Policy for further details.
7. Intellectual Property
7.1 Meridant’s IP
All rights, title, and interest in and to the Service, including all software, technology, frameworks, interfaces, documentation, trademarks, and content created or provided by Meridant, are and remain the exclusive property of Meridant LLC. These Terms do not grant you any rights in Meridant’s intellectual property except the limited licence to use the Service as described herein.
7.2 Feedback
If you provide feedback, suggestions, or ideas regarding the Service (“Feedback”), you grant Meridant a perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and incorporate such Feedback into the Service or other products without restriction or compensation to you.
7.3 Third-Party Frameworks
Certain assessment frameworks incorporated into the Service (including FinOps Foundation content licenced under Creative Commons Attribution 4.0 International) are owned by third parties. Applicable attribution notices will be displayed within the Service and in exported outputs.
8. Confidentiality
Each party agrees to keep the other’s confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. Confidential information does not include information that is publicly known, independently developed, or rightfully received from a third party without restriction.
9. Privacy
Our collection and use of personal information in connection with the Service is governed by our Privacy Policy at meridant.io/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the processing of your personal information as described in the Privacy Policy.
10. Third-Party Services
The Service integrates with third-party services including Anthropic (AI), Stripe (payments), and Resend (email). Your use of these third-party services is subject to their respective terms and policies. Meridant is not responsible for the acts or omissions of any third-party service providers.
11. Service Availability and Support
11.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may suspend or discontinue the Service, or any part thereof, at any time for maintenance, updates, or other operational reasons.
11.2 Support
We provide support via email at support@meridant.io. Response times are provided on a best-efforts basis and are not guaranteed unless otherwise agreed in a separate enterprise agreement.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. MERIDANT DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MERIDANT LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MERIDANT’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MERIDANT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification
You agree to indemnify, defend, and hold harmless Meridant LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any applicable law or the rights of any third party.
15. Term and Termination
15.1 Term
These Terms remain in effect for as long as you maintain an active account or use the Service.
15.2 Termination by You
You may terminate your account at any time by cancelling your subscription and ceasing use of the Service, or by contacting support@meridant.io.
15.3 Termination by Meridant
We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice where practicable. Grounds for immediate termination include material breach of these Terms, non-payment, or fraudulent or illegal activity.
15.4 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 7, 12, 13, 14, and 16) will continue to apply.
16. Governing Law and Disputes
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
16.2 Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be subject to good-faith informal negotiation. If unresolved within 30 days, the parties agree to resolve the dispute through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, with proceedings conducted in Delaware. Nothing in this clause prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
16.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST MERIDANT.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Meridant regarding the Service and supersede all prior agreements and understandings.
17.2 Modifications
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms at meridant.io/terms and updating the “Last Updated” date, or by direct notification where required. Your continued use of the Service after the effective date of changes constitutes acceptance.
17.3 Waiver and Severability
Failure to enforce any provision of these Terms does not constitute a waiver. If any provision is found to be unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Meridant may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
Neither party is liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, government actions, or internet outages.
17.6 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Meridant.
